These terms are an agreement between you and Empty Spaces, Inc. (“we”, “us”), the maker of Frac. They cover the Frac app, its MCP server and this website (together, “Frac”). By signing in to or using Frac, you agree to them. If you use Frac for a company, you agree on its behalf and confirm you’re allowed to.
What Frac is
Frac is accounting software for startups. It reads the bank accounts you connect, categorizes transactions by rules, keeps double-entry books and produces reports. We may add, change or remove features as Frac develops.
Frac is not professional advice
Frac is software, not an accountant, tax preparer, auditor, lawyer or financial adviser. It doesn’t file taxes or returns for you. You are responsible for your company’s books, filings and decisions, and for checking Frac’s output, ideally with a qualified professional, before relying on it.
Your account
- You sign in with GitHub or Google. Keep that account secure: what happens under your sign-in is your responsibility.
- A company’s owners decide who joins it and what they can do, connect and disconnect its banks, and close its books. Members can work in the books.
- You must be at least 18 and able to enter into this agreement.
Your data
Your company’s data is yours. You give us permission to store and process it only to run Frac for you, as described in our privacy policy. You confirm you have the right to connect the bank accounts you connect and to upload what you upload.
Banks and AI assistants
Frac connects to Brex, Meow and Wise with the API keys you provide, and to AI assistants you choose to connect. Those services are run by others under their own terms. We aren’t responsible for them, for data they return to Frac, or for what an AI assistant does with the access you grant it. Choose its access level with care: an assistant with read and write access can change your books.
Acceptable use
Don’t use Frac to break the law, to access another company’s data, to probe or disrupt the service (beyond good-faith security research reported to us), to resell it, or to upload anything you don’t have the right to.
Price
Frac is free. If we ever introduce paid plans, we’ll tell account owners in advance, and nothing will be charged without your agreement.
Ending things
You can stop using Frac at any time, and ask us to delete your company’s books by emailing m@emptyspaces.ai. We may suspend or end access for anyone who breaks these terms, and we may discontinue Frac; if we do, we’ll give reasonable notice so you can export your reports first.
Disclaimers
Frac is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that Frac will be uninterrupted or error-free, that bank feeds will always be complete or on time, or that categories and reports will be correct.
Limitation of liability
To the extent the law allows, Empty Spaces, Inc. won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of Frac. Our total liability for any claim relating to Frac is limited to the greater of what you paid us for Frac in the twelve months before the claim and US$100.
Indemnity
You agree to defend and indemnify Empty Spaces, Inc. against claims arising from your data, your use of Frac in breach of these terms, or your violation of law.
Law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Delaware, and both of us consent to their jurisdiction.
Changes to these terms
We may update these terms. We’ll change the date at the top, and tell account owners by email before a significant change takes effect. Using Frac after that means you accept the new terms.
